Bid Requirements:  The required deposit (see below), completed and signed Auction Registration Form, and the Signed Terms and Condition of Sale
Required Deposit:  20% of the Competing Offeror's first bid which must be in the form of a bank check made payable to "Debra Kramer as Trustee"

ASSETS FOR SALE

(a)   All US Registered Trademark and Copyrights;
(b)   To the extent transferable, domain names and websites including without limitation the “10deep.com” website, and Facebook, Twitter, Instagram accounts and similar accounts utilizing the Registered Trademarks; 
(c)   To the extent transferable, all of the Debtor’s intangibles, and/or intellectual property of any kind or nature including patents, copyrights, trademarks, trade secrets, designs, ideas, discoveries, improvements, concepts, inventions, invention disclosures, trade dress, proprietary technology, proprietary processes and formulae, business methods, recipes, menus, proprietary programs, proprietary software, domain names, customer and supplier lists and contact information, phone numbers, Twitter feeds and Facebook pages.  For the avoidance of doubt, the NY Assets include all of the Seller’s right, title and interest in and to: all trademarks and trademark registrations and applications associated with 10 Deep including Stadium™; all Websites, and the associated digital contents, photos, data associated with the contents (descriptions, etc.); all samples; all Social media handles: Meta, Google, Twitter, Tik Tok, and all keys to access such; all servers and digital media that 10 Deep owned or possessed including without limitation all graphics, product specifications, etc.; all customer mailing lists, emails, data of past interaction and sales; all copyrights; and the right to use all such material for life unless otherwise limited by applicable law or contract;
(d)   +/-45,630 pcs. of clothing and accessories located in Seattle, WA; and
(e)   +/-2,700 pcs. of clothing and accessories located in Brooklyn, NY.
